2. Foreign Exchange Control System
In the United States, there are no foreign exchange control restrictions on acquisition of shares of a domestic corporation by non-residents of the United States and the remittance of dividends and sales proceeds upon distribution of assets in liquidation.
3. Tax Treatment
This Tax Treatment section is not to be relied upon and each person should consult his/her own tax advisor concerning the consequences of owning these securities in his/her particular circumstances under the U.S. tax laws and the laws of any other taxing jurisdictions.
(1) The income tax convention between the United States and Japan of 2004 (the "2004 Convention") has effect with respect to taxes withheld on dividends on the Company's Capital Stock paid to residents of Japan, and has effect with respect to gains realized on the sale of such shares by residents of Japan.
(2) United States Tax Treatment
(a) Withholding of Income Tax on Dividends Paid on the Company's Capital Stock (See Note 1)
Under the 2004 Convention and United States Federal tax law, cash dividends paid on the Company's Capital Stock beneficially held by an individual who is a resident of Japan, and not a citizen or resident of the United States, or by a Japanese corporation are, in general, subject to United States Federal income tax, by withholding at a rate of up to 10 percent.
(b) Income Tax on Sale of the Company's Stock (See Note 1)
Under the 2004 Convention and United States Federal tax law, a Japanese beneficial shareholder of the Company's Capital Stock is not, in general, subject to United States Federal income tax on gains (and is not allowed a reduction for losses) realized on the sale of such stock if an individual holder is not present in the United States for a period or periods aggregating more than 183 days during the year of sales. This exemption treatment under the treaty is not applicable if the Company’s shares are categorized as shares of certain land holding company defined under the treaty.
(c) State and Local Income Tax on Dividends Paid on and Gains from Sales of Company's Capital Stock
Dividends paid and gains from sale may, under some circumstances and if permitted by the applicable tax convention, be subject to local income taxation.
(d) Estate Taxes
Under limited circumstances, upon the death of a Japanese individual who is a beneficial holder of the Company's Capital Stock, such stock will be deemed property situated within the United States and will be subject to United States Federal estate tax.
(3) Japanese Tax Treatment
Income recognized upon the exercise of the Stock Option is subject to the Japanese income taxation. Subject to compliance with and the limitations of the Income Tax Law, the Corporation Tax Law, the Inheritance Tax Law and other current and pertinent laws and regulations of Japan, credits may be claimed as offsets to taxes payable in Japan pursuant to applicable tax convention by Japanese persons or Japanese corporations for United States taxes to which the income (and estates, as to individuals) of such persons or corporations have been subjected as noted in subsections (a) through (d) of "I-3-(2) United States Tax Treatment" above.
