principal-agent relationship

The arrangement that exists when one person or entity (called the agent) acts on behalf of another (called the principal). For example, shareholders of a company (principals) elect management (agents) to act on their behalf, and investors (principals) choose fund managers (agents) to manage their assets. This arrangement works well when the agent is an expert at making the necessary decisions, but doesn\'t work well when the interests of the principal and agent differ substantially. In general, a contract is used to specify the terms of a principal-agent relationship.

Agency law is concerned with any \"principal\"-\"agent\" relationship; a relationship in which one person has legal authority to act for another. Such relationships arise from explicit appointment, or by implication. The relationships generally associated with agency law include guardian-ward, executor or administrator-decedent, and employer-employee.

The law of agency is based on the Latin maxim \"Qui facit per alium, facit per se,\" which means \"he who acts through another is deemed in law to do it himself.\" Agency, in its legal sense, nearly always relates to commercial or contractual dealings.

Direct liability on the part of the main contractor is a suitable means of ensuring this.

relationship of agent and principal

Another such relationship, less well understood by non-lawyers, is the relationship of agent and principal. The essence of this relationship is that the agent is authorised to enter contracts with third parties, which will then be binding on the principal. And so far as third parties are concerned, where an agent appears to be acting on behalf of a principal, the agent by implication warrants that what he is doing is in fact within the scope of his authority – the third party does not need to specifically check the actual scope of the agent’s authority.

The agent/principal relationship is not a concept unique to the UK. Ireland, Canada and Australia have a similar structure to some of their offences of corruption and several countries, including Germany and Austria, have a concept of private sector corruption based around breach of duty, which is conceptually close to the agent/principal approach although not quite as broad. The breach of duty approach is present within all international instruments which address private sector corruption i.e. the Council of Europe Criminal Law Convention, the EU Joint Action and Framework Decision on Private Sector Corruption and the UN Convention on Corruption.
