Jede Partei wird auf ihre eigenen Kosten alle Patentverletzungsaktionen bestreiten, die ihr entgegengebracht werden, resultierend aus der Herstellung, der Verwendung oder dem Verkauf der lizensierten Erzeugnisse. Für den Fall, dass in diesem Vertrag aufgeführte Rechte von dritten Parteien verletzt werden, können die Parteien gemeinsam Wege für eine gesetzliche Aktion suchen, in welchem Falle die Kosten einer solchen Aktion sowie die Schadensersatzleistungen von Dritten hälftig geteilt werden.
Für den Fall, dass eine der Parteien sich entscheidet, nicht an einer solchen Aktion teilzunehmen, kann die andere Partei diese Aktion für sich allein durchführen and auf ihre eigenen Kosten, und jeder wiedererstattete Betrag wird dann zu ihrem eigenen Nutzen sein. Die Partei, die so für sich selbst vorgeht, kann die Unterstützung der anderen Partei gegen Erstattung aller Kosten and Auslagen erbitten.
Patentregistrierung
Für den Fall, dass ein in diesem Vertrag lizensiertes Patent nur im Lande des Lizenzgebers eingetragen ist, kann der Lizenznehmer auf seinen Wunsch eine Patenteintragung in seinem Gebiet auf seine eigenen Kosten beantragen, jedoch auf den Namen des Lizenzgebers.
Zahlung, Rechnungsprüfung und Konten
X wird Z eine Lizenzgebühr zahlen, welche 10% vom Nettorechnungswert alle von X unter diesem Vertrag hergestellten and verkauften Erzeugnisse beträgt.
Translation - English Actions Related to Patent Infringements.
Each party shall bear the costs of defending all patent infringement actions brought against that party resulting from the manufacture, the use, or the sale of the licensed products. In the event that the rights set out in this agreement are violated by third parties, the parties may seek to join efforts in pursuing a patent infringement action under applicable statutory provisions, in which case, the expenses of pursuing such action as well as damages recovered from the third parties shall be shared.
In the event that one of the parties decides not to participate in such an action against a third party, the other party may pursue the action on its own behalf and at its own expense, and every amount compensated shall be for that party's own benefit. The party which proceeds on its own behalf may request that the non-proceeding party provide support for the action in return for reimbursement of all costs and expenses contributed by the non-proceeding party.
Patent Registration.
In case that a patent licensed under this agreement is only registered in the licensor's country, the licensee may of its own accord file an application for registration in the licensee's territory at the licensee's expense, however, the application for registration shall be filed in the name of the licensor.
Payment, Invoice Control and Accounts.
X shall pay Z a licensing fee in the amount of 10% of the net invoiced amount of all products manufactured and sold by X under this agreement.
